  1. INTRODUCTION

This Terms of Sale Agreement ("Terms of Sale") is entered into by and between you ("Subscriber" or "You") and USA Publishing ("USA Publishing," "Company," "we," or "us") regarding your subscription to our Los Angeles Post online website service ("Service"). By subscribing to the Service, you agree to these Terms of Sale, in addition to our Terms of Use and Privacy Policy which are hereby incorporated by reference into this Agreement.

Subscriptions are only available to individuals who are of legal age to form a valid contract under applicable laws. By subscribing to the Service, you represent and warrant that you meet the legal age requirement and have the legal capacity to enter into this Agreement.

Subscriptions to the Service are personal to the subscriber and may not be sold, assigned, transferred, or otherwise conveyed to any other person or entity without the prior written consent of Company. Any attempt to sell, assign, transfer, or convey a subscription without the Company's consent shall be null and void.

  1. ACCESS TO WEBSITE CONTENT

A subscription is required to access certain content on the Website. Although access to the Website is available without a subscription, certain content may be restricted or unavailable. You acknowledge and accept that without a subscription, your access to some content may be limited. The Company retains the right to alter the content available without a subscription at any time without providing notice.

When you choose to subscribe, the subscription fee will be clearly stated on the Website. Any available discounts will be communicated at the time of subscription and will not be applied retroactively. All subscription fees are denominated in United States currency. Company may offer free or discounted trials for a certain period of time, which will be disclosed to you at sign up if available.

  1. TRIALS

Trials are offered at a reduced price compared to the full subscription fee. The Company reserves the right to cancel any trial at any time and to alter the features and services offered during the trial period.

BY SIGNING UP FOR A TRIAL, YOU AGREE THAT UNLESS YOU CANCEL BEFORE THE END OF THE TRIAL PERIOD, YOUR TRIAL WILL AUTOMATICALLY RENEW INTO A FULL, MONTH-TO-MONTH SUBSCRIPTION, WITH CHARGES AS PER THE SUBSCRIPTION PAYMENT TERMS DISCLOSED AT THE TIME OF SIGN-UP. IF YOU DO NOT AGREE TO YOUR TRIAL AUTOMATICALLY CONVERTING TO A FULL SUBSCRIPTION AT THE END OF THE TRIAL PERIOD, YOU MUST CANCEL YOUR TRIAL BEFORE IT ENDS.

  1. BILLING OF SUBSCRIPTIONS

When subscribing to our Service, you agree to an automatic-renewing subscription that incurs regular charges at the chosen frequency (i.e., monthly or yearly) until you opt to cancel in the manner set forth in Section 6. Your initial subscription cost will be billed either at the time you subscribe or upon the conclusion of your free trial if you entered into a free trial. You must cancel your subscription to avoid future charges.

Your subscription will continue with automatic renewals at the chosen intervals, incurring charges at the rate disclosed to you at sign-up, unless prior to the end of the current subscription period, one of the following occurs:

  1. You deactivate your account;
  2. You cancel your subscription in accordance with Section 6 below;
  3. We opt not to extend your subscription;
  4. The Terms of Sales are terminated by us as set forth in these Terms of Sale.

More information regarding subscription cancellation can be found in Section 6 below. Please note, we reserve the right to modify subscription terms or prices at our discretion at any time. If we modify the subscription terms or prices, we will provide you with notice on our Website or by sending you an email to the email address you used to register for our Service. Your continued use of the Service following such changes indicates your acceptance of the new fees.

Should you redeem a gift subscription, you may have the opportunity to switch to a self-renewing subscription once your gift period expires. Your payment details can be managed and viewed anytime via the Account section on our website.

Please be aware that subscriptions or purchases made via third-party platforms (like Google Play or iOS) are overseen by the corresponding third-party. These third party platforms manage the collection of subscription fees, supervise the subscription, and provide us with updates on subscription accounts purchased via their platform. While we don't have the capacity to start, terminate, or reimburse subscriptions made through a third-party on your behalf, we can modify your subscription rights associated with such third-party subscriptions (for instance, we can discontinue your subscription if you have cancelled it via a third-party).

  1. CHARGES TO YOUR DEBIT/CREDIT CARD

Upon subscribing, you authorize USA Publishing to charge your payment method for the subscription fee along with any other charges you may incur in connection with your use of the Website. You bear responsibility for all charges made under your account, inclusive of applicable taxes, fees, and surcharges. If your payment method cannot be charged for any reason, your subscription may be suspended or terminated, resulting in loss of access to the Website and its content.

All fees are payable in U.S. dollars. You agree to provide us with valid, up-to-date, and complete debit/credit card, contact, and billing details. You authorize us to bill your debit/credit card monthly or yearly depending on which subscription frequency you select at sign up. Charges will appear on your credit card statements as having been charged by "default.com"

You agree that USA Publishing reserves the right, in its sole and absolute discretion, to adjust the subscription fee to a lower amount at any time. By continuing your subscription, you accept any such adjustments to the subscription fee made by USA Publishing. This agreement acknowledges your understanding and acceptance that the subscription fee may be lowered from the initially agreed amount.

  1. CANCELLING YOUR TRIAL OR SUBSCRIPTION

Your trial or subscription can be cancelled at any time via your online Account, by contacting us via email at [email protected], or by calling our toll-free customer support number (888) 488-2023. For those acting as authorized representatives or holders of power of attorney for a subscriber, all relevant documents evidencing your association with the subscriber must be attached to the cancellation request. Third-party subscription cancellation or bill negotiation service providers cannot cancel your account as we verify the identity of all subscribers before processing cancellation requests.

Upon cancellation, if you are within your trial period, the trial will continue until its scheduled end date, regardless of the trial end date. If you cancel after your trial end date, your subscription will cease at the end of the billing period for which you have already been billed. No refunds will be provided for partially used periods. 

  1. ELECTRONIC NOTIFICATIONS

You agree to receive all notifications, communications, and updates electronically from USA Publishing. Such electronic notifications may include, but are not limited to, subscription confirmations, billing statements, changes to the Terms of Use, Terms of Sale, Privacy Policy, and other important notices. You acknowledge and agree that electronic notifications will be considered as written communication and satisfy any legal requirement that such communications be in writing. You further agrees that it is your responsibility to maintain a valid and up-to-date email address with USA Publishing for the purpose of receiving electronic notifications. Any electronic notification sent to the email address on record shall be deemed received by you on the date of transmission. If you wishes to withdraw their consent to receive electronic notifications, they must notify USA Publishing in writing.

  1. THIRD PARTIES

If you choose to purchase a subscription to our Service through a third-party platform, please note that these Terms of Sale may not apply and terms and conditions of your subscription will be governed by the contract between you and the third-party platform. Company is not responsible for initiating, terminating, or refunding subscriptions made through a third-party platform on your behalf. However, we reserve the right to modify your subscription rights associated with such third-party subscriptions, including discontinuing your subscription if you have cancelled it via a third-party.

  1. CANCELLATION AND NO REFUND POLICY

Subscriptions can be terminated at any point by accessing your Account settings, reaching out to us via our toll-free customer support number (888) 488-2023, or by sending an email to [email protected]. The termination will take effect at the conclusion of the ongoing trial or subscription period, and you will have continued access to your trial or subscription until that time. Please note that there are no refunds for periods partially used.

Refunds are not offered for any purchases made from Company, though Company may grant refunds at its sole discretion. You must submit your refund request for payments charged to your payment method by Company within the last three (3) months from the date of cancellation. Company may consider and decide, in its sole discretion whether to grant refund requests on a case-by-case basis.

To request a refund for an amount charged directly by Company, you must email us at [email protected] or click the "Contact" link on the homepage to contact us using another method of contact. You must provide sufficient information to allow Company to locate the charged amounts for your refund request to be processed. Refunds are not automatic and will only be issued at Company's discretion upon your request following the cancellation of your subscription. Company will not provide refunds for any charges that were not directly charged to your credit card by Company.

You are solely responsible for ensuring that you have sufficient funds in your bank account or Payment Method for Company to charge the fees for your use of Service. Company shall not be liable to reimburse or credit your account for any overdraft fees charged by your bank or other financial institution as a result of insufficient funds in your account. If you have disputed any charges with your bank, you forfeit your right to receive a refund from Company, even if the disputed charges fall within the three-month period for eligible refunds.

We may modify our refund policy in this Section 9 at any time without prior notice. Any changes to the refund policy will be effective immediately upon posting the updated version on the Website. It is your responsibility to review these Terms of Sale periodically for any updates or changes,

  1. CHANGES TO TERMS OR SERVICES

We may modify the Terms of Sale, our Services, or our prices at our sole discretion. If we do, we will notify you by posting the changes on our Website or through other communications. If you continue to use the Services after we have posted a modification, you are indicating that you agree to be bound by the updated terms.

  1. ENTIRE AGREEMENT

This Agreement, together with our Privacy Policy and Terms of Use, constitute the sole and entire agreement between you and USA Publishing with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website.

Your use of the Website and your subscription to the Los Angeles Post are subject to the terms and conditions set forth in these Terms of Sale, Terms of Use, and the Privacy Policy. By subscribing, you acknowledge that you have read and understood these Terms of Sale and agree to be bound by them. If you do not consent to all the stipulations detailed in these Terms of Sale, including our practice of charging upfront each month for the complete monthly subscription fee and not offering pro-rata refunds, you may not access the Website or utilize any Services. By subscribing, you expressly recognize and consent to our practice of charging upfront each month for the complete monthly subscription fee and not offering pro-rata refunds.
